JETMS Completions and Waypoint Aerotec, both at Biggin Hill, called creditors' meetings for 5 August. Accounts show 49 staff and £2.4m of net liabilities.

An aircraft maintenance company that employed an average of 49 people at Biggin Hill has called a meeting of its creditors as part of a creditors’ voluntary liquidation, and so has a second aviation company registered at the same address. JETMS Completions Ltd held a virtual creditors’ meeting at 3.30pm on 5 August, and Waypoint Aerotec Limited held one at 11.30am the same day. Both notices were signed by the same director, Stefan Chevalier, on 22 July and published in The London Gazette on 28 July. We reported both notices on 4 August as part of July’s insolvency notices for the Sevenoaks area. The companies’ own filed accounts, read since, show how large the Biggin Hill operation was and the state it was in before the meetings were called.

What the notices say

Both companies give their registered office and principal trading address as 510 Churchill Way, Biggin Hill, Westerham, TN16 3BN, an address on the London Biggin Hill Airport site. The TN16 3BN postcode falls in the London Borough of Bromley, in its Biggin Hill ward, even though the postal address is Westerham in Kent. (postcodes.io, ONS postcode data for TN16 3BN)

The meetings were called under Section 100 of the Insolvency Act 1986 and Rule 15.13 of the Insolvency (England and Wales) Rules 2016, the stage at which creditors of a company being wound up voluntarily can vote on who acts as liquidator. Stuart David Morton and Matthew Robert Howard of Price Bailey LLP in Norwich are named in both notices as the insolvency practitioners qualified to act. The notices describe JETMS Completions as trading in the repair and maintenance of aircraft and spacecraft, and Waypoint Aerotec as non-scheduled passenger air transport.

A business that shrank before it stopped

JETMS Completions was incorporated in May 2008 as PACE (GB) Limited, became RAS Interiors Limited in February 2011 and took its present name in March 2022. (Companies House, JETMS Completions Ltd (06587758))

Its audited abridged accounts for the year to 31 December 2024, filed last July, record an average of 49 people employed during the year, down from 67 the year before. Payroll costs fell over the same period from £3,470,288 to £2,792,819. The balance sheet shows creditors falling due within one year of £5,082,037 and net liabilities of £2,412,492, an improvement on the £2,907,893 deficit a year earlier but still a company owing more than it owned. The going concern note is blunt about what was holding it up: “The company incurred losses in the current and previous financial year and has negative net assets at the year ended 31 December 2024. The company forecasts losses for the next two years, turning into profit in 2027. The company will continue to have negative net assets and relies on loans from within the group to continue as a going concern.” The auditor’s report, dated 23 June 2025, was unqualified, signed by Ibrahim Ibrahim for CAS House Limited. Waypoint Aerotec is a much smaller entity. It was incorporated in January 2013 and moved its registered office to Churchill Way in October 2023. Its accounts to 31 December 2024 record no employees at all during the year, against one the year before, and net assets of £12,060, down from £72,075. Its auditor did not express an opinion on those accounts: the report dated 4 July 2025 records that the auditor was appointed after 31 December 2023 and could not obtain sufficient appropriate audit evidence. Who owns them

Companies House lists two active people with significant control over JETMS Completions: Jetms Holdings Limited, an Irish company with a correspondence address at Central Park in Dublin, holding 75 per cent or more of the shares and votes since June 2024, and Gediminas Ziemelis, a Lithuanian national resident in the United Arab Emirates, holding more than 50 but less than 75 per cent since April 2022. The related party note in the 2024 accounts shows how much of the Biggin Hill company’s work came from inside that group. It records sales to AviaAM Leasing DMCC of £469,951 and to JetMS Interiors UAB of £83,602, and purchases from JetMS Interiors UAB of £388,168, from Avia Solutions Group of £31,029 and from Chapman Freeborn Airmarketing Ltd of £18,814. What the register shows now

As of Monday 10 August, five days after the meetings, Companies House still lists both companies as active, and no notice appointing liquidators to either had appeared in The Gazette. Company records are updated when the relevant forms are filed, so the register lags events by days or weeks. Neither company has published a statement about the Biggin Hill site, and we have not seen any announcement of redundancies; the only public record at this point is the notices and the filed accounts. What it means for you
